These Terms & Conditions ("Terms") form a binding agreement between Altyaa LLC, a Wyoming limited liability company ("Altyaa", "we", "us", or "our"), and the entity or individual agreeing to these Terms ("Client", "you", or "your"). By creating an account, starting a free trial, or using Altyaa's services, you agree to be bound by these Terms. If you are using the Services on behalf of a company, you represent that you have authority to bind that entity.
Services
Altyaa provides a cloud-based platform that helps businesses manage their online reputation and social media presence (the "Services"), including monitoring reviews and ratings, managing social profiles, scheduling review requests, publishing and scheduling posts, dashboards and analytics, and AI-powered tools and AI Agents that suggest or take actions on your behalf. Unless stated in an order or statement of work, Altyaa does not provide custom implementation, consulting, or professional services.
Third-party platforms and integrations
The Services may integrate with third-party platforms such as Google, Meta (Facebook, Instagram), X, LinkedIn, TikTok, and other review and social platforms. You are responsible for maintaining valid accounts and permissions, and for complying with each platform's terms. Altyaa has no control over and disclaims responsibility for outages, changes, or decisions made by these providers, and is not responsible if your account on a third-party platform is restricted or suspended.
AI tools and AI agents
The Services may incorporate large language models, generative AI, ranking and recommendation systems, and automated AI Agents that act on your behalf based on the configuration and permissions you set. You are responsible for deciding what actions AI Agents may take and for overseeing their outputs. Altyaa may send Client Data to AI providers as necessary to provide AI features and will contractually restrict those providers from using non-anonymized Client Data to train their models. AI Tools are probabilistic and may generate inaccurate or inappropriate content ("hallucinations"); you must review AI-generated content and AI Agent actions before use, and you remain solely responsible for content you publish.
Review and reputation compliance
You agree not to use Altyaa for "review gating" — steering satisfied customers to public review sites while diverting unsatisfied customers to private channels. You must give all recipients a substantially equal opportunity to leave an honest review, comply with FTC guidelines, and not generate or solicit fake, misleading, or deceptive reviews. Some platforms (for example, Yelp) restrict review solicitation; you are responsible for complying with each platform's rules.
Communications and compliance (email/SMS)
If you use Altyaa to send emails or SMS, you are solely responsible for obtaining all legally required consents and complying with applicable laws, including the TCPA, CAN-SPAM, GDPR/ePrivacy rules, and other marketing and communication laws. You agree to indemnify Altyaa for claims arising from your failure to obtain required consents.
Accounts, security, and fair use
You are responsible for maintaining the confidentiality of your login credentials, restricting access to authorized personnel, and promptly disabling access for those who should no longer have it. If you suspect unauthorized access, change your password and notify [email protected]. Altyaa may apply fair-use limits to API calls, automated requests, message volume, and storage to protect platform stability.
Subscriptions and billing
You agree to pay the subscription and other fees described in your order. Unless otherwise specified, fees are billed in advance and are non-refundable except as required by law. Altyaa uses Stripe or similar processors and does not store your payment card or bank details. Subscriptions auto-renew for successive terms unless either party gives notice of non-renewal. Late payments may accrue interest and result in suspension. Upon termination you remain responsible for fees due for the current term, and you may request export of certain data within 30 days after termination.
Ownership, data, and confidentiality
Altyaa owns all rights in the Services, software, interfaces, designs, models, documentation, and aggregated or de-identified data. You receive a limited, non-exclusive, non-transferable, revocable license to use the Services during your paid term. You retain ownership of your Client Data and grant Altyaa a limited license to process and store it to operate, secure, and improve the Services. Each party agrees to keep the other's non-public information confidential.
Disclaimers and limitation of liability
To the maximum extent allowed by law, the Services are provided "AS IS" and "AS AVAILABLE" and Altyaa disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, and the accuracy of AI outputs or analytics. Altyaa will not be liable for indirect, incidental, special, consequential, or punitive damages, and Altyaa's total aggregate liability for all claims is limited to the amounts you paid to Altyaa in the twelve (12) months preceding the event giving rise to the claim. Claims may be brought only against Altyaa LLC, not against any founder, member, manager, director, officer, employee, or agent in their personal capacity.
Indemnification
You agree to indemnify and hold harmless Altyaa and its officers, directors, members, employees, and agents from claims, damages, losses, and expenses arising out of your use of the Services, your violation of these Terms or any law or third-party rights, and content or actions taken using your account, including AI-generated communications you approve or publish.
Governing law and dispute resolution
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law rules. Any dispute will be resolved exclusively in the state or federal courts located in Wyoming, and you consent to the jurisdiction and venue of those courts.
Changes to terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms and update the effective date above. Continued use after changes take effect constitutes acceptance.
